Private Equity and Venture Capital
We regularly assist clients in connection with private equity and venture capital investments. Our attorneys have represented companies, private investors and investment funds in connection with private equity investments ranging from seed financings of a few hundred thousand dollars to large financings in excess of $100 million, including issuances of preferred stock, warrants and convertible debt.
Mergers & Acquisitions
We assist clients with merger and acquisition transactions of any structure with any form of consideration. Our attorneys have worked on merger and acquisition transactions with deal values ranging from a few hundred thousand dollars to several hundred million dollars. We assist clients in all aspects of merger transactions, including due diligence investigations, preparation and negotiation of definitive documentation and related matters.
General Corporate and Business Law
We regularly advise clients on general corporate and business matters and often act as an outside general counsel for clients. Our attorneys work with clients to maintain corporate records, including minutes of meetings of the board of directors. We frequently are asked to participate in board meetings and counsel directors regarding fiduciary duties and other legal matters. We also advise our clients on general contract matters and business issues.
Start-ups and Growth Companies
We frequently advise clients on the selection of an appropriate legal entity for a business and assist in all aspects of the formation of a corporation, limited liability company, partnership or other entity. Once the entity is formed, we assist clients during the entire life cycle of a business, from raising start-up capital, through various financings, acquisitions and other transactions, to a sale, public offering or other exit event. We are often called upon to assist entrepreneurs in connection with strategic business decisions as well as legal matters.
Commercial Transactions
Our attorneys assist clients in structuring and negotiating a wide array of commercial contracts and transactions, including service agreements, sales and licensing agreements, distributor and reseller contracts and other agreements that establish a legal relationship with a prospective business or strategic partner.
